Topics include minority shareholder oppression, derivative actions, the business judgment rule, special committees, D&O indemnification and insurance, claim classification, securities class actions, merger- and tender offer–related litigation, gatekeeper liability, and the jurisdiction of the Economic Division of the District Court.
